When you place an order, you are making an offer to purchase. Drenia reserves the right, at its sole discretion, to accept or refuse your orders for any reason. Your orders are not considered accepted until Drenia confirms acceptance. We must receive and process your payment before accepting orders. Please review your order carefully before submitting it, as Drenia may not accept cancellation requests after order confirmation. In the event that an order is not accepted, or is modified or canceled, we will attempt to notify you using the email, billing address, and/or phone number provided at the time of submission.

Returns or exchanges of your purchase can only be carried out in accordance with our Refund Policy [LINK].

You represent and warrant that your purchases are for personal or household use, and are not made for the purpose of commercial resale or export.

SECTION 4 – PRICING AND BILLING

Prices, discounts, and promotions may change without prior notice. The price charged for a product or service is the price in effect at the time the order is submitted, which will be indicated in the order confirmation email sent to you. Unless expressly stated otherwise, displayed prices do not include tax, shipping, handling, customs, and import fees.

SECTION 5 – SHIPPING AND DELIVERY

We are not responsible for delays in shipping and delivery. Delivery times are estimates only, not guaranteed dates. We are not liable for delays caused by the carrier, customs clearance, or events beyond our control. Once the product has been handed over to the carrier, title and risk of loss transfer to you.

Our Services, including but not limited to all trademarks, brands, text, displayed material, images, graphics, product reviews, video and audio content, as well as their design, selection, and arrangement, are the property of Drenia, its affiliate, or licensor, and are protected by U.S. and foreign patent, copyright, and other intellectual property laws.

Without our prior written consent, it is prohibited to reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, republish, download, store, or transmit any of the material comprising the Services. Drenia's names, logos, product and service names, designs, and slogans are trademarks of Drenia, its affiliate, or licensor. Such trademarks may not be used without Drenia's prior written consent. Shopify's name, logo, product and service names, designs, and slogans are trademarks of Shopify. All other names, logos, product and service names, designs, and slogans that are part of the Services are the trademarks of their respective owners.

As part of the Services, you may be given access to third-party tools that we do not monitor and over which we have no control or input.

Drenia's service provider is Shopify, which enables us to provide the Services to you. However, all sales and purchases in our stores take place directly through Drenia's service. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of the sale and purchase transaction between you and Drenia, including any injuries, damages, or losses resulting from products or services purchased. You hereby expressly release Shopify and its affiliates from any claims, damages, and liabilities arising from or related to any purchase or transaction between you and Drenia.

Additionally, you agree not to: (a) upload or transmit viruses or other malicious code that will or may affect the functionality or operation of the Services; (b) reproduce, duplicate, copy, extract, sell, resell, or exploit any part of the Services; (c) collect or track the personal information of others; (d) use the Services for spam, phishing, unauthorized redirection, or pretexting; (e) use robots, spiders, scrapers, data mining and extraction tools, automated tools or processes, AI tools (such as agentic AI), or automated or manual means to access the Services; or (f) interfere with, circumvent, or bypass security or authentication features, robot exclusion headers, or other measures used to restrict access to the Services. Agents must: (i) in every HTTP/HTTPS request, identify that the request originates from an Agent, disclosing the Agent's name by including in the user-agent request string: "Agent/[agent name]"; (ii) not conceal that any access, use, or interaction originates from an Agent, such as by (a) imitating human behavior and interaction patterns, or (b) completing a CAPTCHA or bypassing measures designed to distinguish human use from computer use; (iii) answer truthfully any question or prompt intended to determine whether interactions originate from a human or a computer; (iv) not otherwise evade or circumvent measures designed to block, limit, modify, or control whether Agents access, use, or interact with any Service.

We may, at our sole discretion, terminate this agreement or your access to the Services (or any part thereof) at any time, without prior notice; in such case, you will remain liable for all amounts due up to and including the date of termination.

The following sections shall survive any termination of this agreement: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provision that by its nature should survive termination.

WE DO NOT WARRANT, REPRESENT, OR GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. IN SOME JURISDICTIONS, THE EXCLUSION OF IMPLIED WARRANTIES AND OTHER WARRANTIES IS LIMITED OR NOT PERMITTED, SO THE ABOVE DISCLAIMER MAY NOT APPLY TO YOU.

SECTION 17 – LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY LAW, DRENIA, OUR AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, ASSOCIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, AND LICENSORS, AS WELL AS SHOPIFY AND ITS AFFILIATES, DISCLAIM ALL STRICT AND OTHER LIABILITY FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND (INCLUDING, WITHOUT LIMITATION, LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, REPLACEMENT COSTS, OR ANY SIMILAR DAMAGES), WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, OR FOR ANY OTHER CLAIM RELATED IN ANY WAY TO YOUR USE OF THE SERVICES OR ANY PRODUCT (INCLUDING, WITHOUT LIMITATION, ANY ERRORS OR OMISSIONS IN ANY CONTENT), OR ARISING FROM ANY USE OF THE SERVICES OR ANY CONTENT (OR PRODUCT) POSTED, TRANSMITTED, OR OTHERWISE MADE AVAILABLE VIA THE SERVICES, EVEN IF ADVISED OF THEIR POSSIBILITY.

SECTION 18 – INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Drenia, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any loss, damage, liability, or claim, including reasonable attorneys' fees, made by any third party arising from: (1) your breach of these Terms of Service or documents referenced herein, (2) your violation of any law or infringement of any third-party rights, or (3) your access to and use of the Services.

We will notify you of any potential indemnification claim, provided that failure to provide prompt notice will not relieve you of your obligations except to the extent you are materially prejudiced. We may, at your expense, assume the defense and control of any such claims, including the selection of legal counsel; however, we will not settle any claim involving non-monetary obligations on your part without your consent (which shall not be unreasonably withheld). You agree to cooperate with the defense of any indemnified claims, including by submitting relevant documents.

SECTION 19 – SEVERABILITY

In the event that any provision of these Terms of Service is found to be unlawful, void, or unenforceable, such provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, and the unenforceable portion shall be deemed severed from these Terms of Service, such determination not affecting the validity and enforceability of any other remaining provisions.

SECTION 20 – WAIVER; ENTIRE AGREEMENT

Our failure to exercise or enforce any right or provision of these Terms of Service shall not constitute a waiver of such right or provision.

These Terms of Service and any policies or operating rules posted by us on this website or in relation to the Services constitute the entire agreement and understanding between you and our company, and govern your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, between you and us (including, but not limited to, any prior versions of the Terms of Service).

SECTION 22 – GOVERNING LAW

These Terms of Service, and any separate agreement under which we provide you Services, are governed and construed in accordance with the laws of the United Arab Emirates, the jurisdiction of Drenia's headquarters. You and Drenia consent to the exclusive jurisdiction and venue of the competent courts of the United Arab Emirates.

However, if you are a consumer residing in the European Union, you also benefit from the mandatory consumer protection provisions applicable in your country of residence, in accordance with Regulation (EC) No 593/2008 (Rome I) and applicable EU consumer protection directives. In the event of a dispute, you may also bring proceedings before the competent courts of your country of residence.
